Terms & Conditions

Last updated: March 2026. These Terms & Conditions govern your organization's access to and use of OBAM's SaaS platform and related services.

1. Agreement and eligibility

By creating an account, accessing, or using OBAM, you agree to these Terms and represent that you have authority to bind your organization. OBAM is intended for business use by users who are at least 18 years old.

2. Subscription and account responsibilities

You are responsible for maintaining account credentials, managing user access, and ensuring all submitted data and public-reference materials are lawful and accurate. You must promptly notify OBAM of unauthorized access or security incidents affecting your account.

3. Acceptable use

You may not use the Services to violate law, infringe third-party rights, upload malicious code, attempt unauthorized access, interfere with service integrity, or misuse verification workflows. OBAM may suspend access for abusive, illegal, or high-risk activity.

4. Customer data and intellectual property

You retain ownership of Customer Data. You grant OBAM a limited license to host, process, and transmit Customer Data only as needed to provide, secure, and improve the Services. Each party retains ownership of its pre-existing intellectual property and branding.

5. Fees, billing, and renewals

Paid plans are billed in advance under your order form. Fees are non-refundable except where required by law or expressly stated in your agreement. You are responsible for applicable taxes, excluding taxes on OBAM's net income.

6. Confidentiality

Each party will protect the other party's confidential information using reasonable safeguards and will use it only for purposes of the business relationship. Confidentiality obligations do not apply to information that is public, independently developed, or rightfully received without restriction.

7. Service levels, security, and changes

OBAM maintains commercially reasonable administrative, technical, and organizational safeguards. We may update or modify the Services over time, provided core functionality is not materially degraded for active subscriptions without notice requirements in your agreement.

8. Warranties and disclaimers

The Services are provided on an "as is" and "as available" basis except as expressly stated in a signed agreement. OBAM disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by law.

9. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or goodwill. Aggregate liability under these Terms is limited to the fees paid by Customer to OBAM during the 12 months preceding the claim.

10. Term, suspension, and termination

These Terms apply during your active use of the Services. Either party may terminate for material breach not cured within a reasonable notice period. OBAM may suspend access for security, legal, or payment-risk reasons. Upon termination, access ends and data handling follows the agreed retention/deletion process.

11. Governing law and disputes

Unless otherwise stated in your order form, these Terms are governed by the laws of the jurisdiction where OBAM contracts with your organization, excluding conflicts-of-law rules. The parties will first attempt to resolve disputes in good faith before formal proceedings.
